2. Description of Service

Spin Raptor is a content repurposing tracking service that helps users organize, track, and manage their content across multiple formats and platforms. The Service allows you to import content metadata, track repurposing progress, and manage your content workflow.

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

7. Subscription and Payments

Some features of the Service require a paid subscription. By subscribing, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Provide accurate billing information
  • Authorize us to charge your payment method on a recurring basis

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.

8. Free Trial

We may offer a free trial period for new users. At the end of the free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. We reserve the right to modify or discontinue free trials at any time.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may do so by contacting us or through your account settings.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

IN NO EVENT SHALL SPIN RAPTOR, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

12. Indemnification

You agree to defend, indemnify, and hold harmless Spin Raptor and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Service or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located within the United States.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
